Debt package is large
AMC launched a refinancing initiative totaling roughly $3.97 billion. The plan includes a $2 billion private offering of first lien notes due 2031, an $850 million first lien term loan facility, and a $1.12 billion second lien term loan facility backed by a commitment letter from Deutsche Bank AG New York Branch.
First lien debt generally has priority over lower-ranking debt if a borrower runs into financial stress. Second lien debt ranks behind first lien debt.
Bond maturities move out
The new first lien notes are due in 2031, which is later than the 2029 secured notes AMC is also targeting in a tender offer. Pushing debt maturities further into the future can reduce the pressure to refinance debt near-term, although it does not eliminate leverage.
AMC said the notes offering and term loan facilities are subject to market and other conditions. Terms can still depend on investor demand and credit-market conditions.
Tender offer targets 2029 notes
AMC separately began a cash tender offer for any and all outstanding 7.500% Senior Secured Notes due 2029. A tender offer is a formal proposal to buy securities from current holders under stated terms.
The offer covers $359.96 million in outstanding principal amount and is set to expire Sept. 30, 2026, unless extended or earlier terminated. The offer price is $1,009.70 for each $1,000.00 of principal, plus accrued and unpaid interest.
Stock held gains by afternoon
AMC's intraday range showed volatility around the open, but shares were higher by afternoon. The stock traded as low as $2.67 and as high as $2.96, after opening at $2.73.
The high was $0.26 above the previous close. The low was $0.03 below the previous close, showing that the early move briefly gave way before buyers pushed the shares higher.
Balance sheet is the focus
AMC remains closely watched because the financing discussion centers on a high-leverage balance sheet. The new financing plan is aimed at refinancing existing debt and extending the company's financial runway.
